Terms of Service

These terms govern your use of the TradeWorks LLC website and services. By accessing the site or engaging TradeWorks, you agree to these terms.

1. Services

TradeWorks LLC provides marketing automation services for home-service trades businesses, including SmartReach (SMS/email campaigns), TradeBOT (AI booking assistant), and LeadFlow (paid-ad lead generation). Specific scope, deliverables, and pricing for paid engagements are set out in a separate written service agreement.

2. Eligibility

You must be at least 18 years old and authorized to bind your business to these terms in order to engage our services.

3. Acceptable Use

You agree not to use the site or our services to:

• Send unsolicited messages to recipients who have not consented to receive them.
• Violate any applicable law, including the TCPA, CAN-SPAM Act, or state consumer-protection statutes.
• Transmit content that is unlawful, fraudulent, defamatory, or infringes any third-party rights.
• Interfere with or disrupt the operation of the site or service.

You are responsible for the lawfulness of any contact lists you provide and for obtaining all required consents from recipients.

4. Fees & Billing

Paid services start at $249/month. Fees, billing cadence, and cancellation terms are set in your service agreement. Unless stated otherwise, subscriptions renew monthly and may be cancelled at any time with no penalty, effective at the end of the current billing period.

5. Intellectual Property

The site content, software, and service materials are owned by TradeWorks LLC or its licensors and are protected by copyright and other laws. You retain ownership of your business data and content you provide; you grant TradeWorks a limited license to process that data solely to deliver the services.

6. Disclaimers

The site and services are provided "as is" and "as available," without warranties of any kind, express or implied. TradeWorks does not guarantee any specific lead volume, booking rate, or revenue outcome. Results depend on factors outside our control, including your market, offer, and responsiveness.

7. Limitation of Liability

To the maximum extent permitted by law, TradeWorks LLC's aggregate liability arising out of or related to these terms or the services is limited to the fees paid by you to TradeWorks in the three (3) months immediately preceding the event giving rise to the claim. TradeWorks is not liable for indirect, incidental, special, consequential, or punitive damages.

8. Indemnification

You agree to indemnify and hold TradeWorks LLC harmless from any third-party claims arising from your contact lists, message content, or your violation of these terms or applicable law.

9. Termination

Either party may terminate a paid engagement in accordance with the service agreement. TradeWorks may suspend or terminate access to the site or services immediately for violations of these terms.

10. Governing Law

These terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Essex County, Massachusetts, and the parties consent to personal jurisdiction there.

11. Changes

We may update these terms from time to time. Material changes will be noted here with a revised "Last updated" date. Continued use of the site after changes constitutes acceptance.
